1. Overview

Codeout is an EdTech brand owned by Migaro Technology Private Limited, providing professional and technology-based online training programs.
All trainers at Codeout are experienced professionals who allocate specific time slots to each batch (typically 3–5 months in duration).

Since trainer time and batch schedules are booked in advance, Codeout follows a strict no-refund policy, except under specific conditions mentioned below.

2. General Refund Rule

Once a student has taken admission and a trainer’s time slot has been allocated and informed, the admission is considered confirmed and non-refundable, even if the student has not attended any class.
Trainer time is a professional commitment; therefore, no refund will be processed once scheduling is done.

3. Refund Eligibility (Exceptional Situations Only)

Refunds are considered only in the following exceptional cases:

a) No Class Scheduled or Timing Not Informed

If no class timing or batch schedule is communicated within 30 days of admission, and trainer time has not yet been blocked, the student may request a refund (after deduction of applicable taxes or payment gateway charges).

b) Batch Size Exceeds Commitment

Codeout commits to a maximum of 5 students per batch.
If a batch exceeds this limit, the student may request a full refund citing “over-strength batch” as the reason.

c) Trainer Changed Without Consent

If Codeout replaces the original trainer without the student’s prior consent, Codeout will be liable to issue a refund for that course.

d) Full Payment Course – Early Cancellation

Example: ERP Training ₹60,000 paid in full.
If the student attends only the first class and requests cancellation within 48 hours of that class, Codeout will refund 65% of the total fee.
After 48 hours, no refund will be entertained.

e) Installment or EMI-Based Payment

For students paying in installments (e.g., 3×₹20,000), no refund will apply once the first class has been attended.
Installment-based students can only request a refund within 24 hours after their first class, provided trainer time has not been permanently blocked.

f) Repeated Schedule Failure (Normal Working Weeks)

If Codeout fails to conduct scheduled classes three consecutive times, and the student has given three written notices, and a fourth failure occurs, Codeout will offer either:

• 50% refund, or

• 50% discount on the course (student’s choice).

(Note: This does not apply during festival or holiday weeks.)

4. Festivals & Official Holidays

During major festivals such as Diwali, Dussehra, Holi, Eid, or Chhath Puja, Codeout operations may pause.
Delays during such holidays will not be considered grounds for refund or complaint.

5. Trainer Feedback & Change Policy

If a student is unsatisfied after the first class, they must:

1. Inform their Codeout counselor in writing immediately after the first class.

2. Attend a three-step review process:

   • Meeting with subject expert

   • Discussion with the trainer

   • Final review with the Founder/Management

Based on this process, a new trainer may be allotted.
Refunds are not applicable for trainer change requests unless Codeout changes the trainer without notice.

6. Class Timing or Batch Change Requests

If a student wishes to change their class day or batch timing (e.g., from weekday to weekend), Codeout requires a minimum of 2 weeks’ notice to check availability and feasibility.

7. Mode of Training & Office Visits

All Codeout training programs are conducted online only through Zoom, Google Meet, or other approved platforms.

Physical visits to Migaro Technology Pvt. Ltd. offices are allowed only by prior appointment, for documentation or consultation with subject experts.

If a student cannot reach the Codeout team after multiple attempts (3–4 calls or emails), they may visit the office in person and meet their assigned counselor for resolution.

8. Misconduct, Threats & Legal Action

8.1 Misbehavior or Inappropriate Messages

If any student sends inappropriate or unrelated messages to Codeout’s management, employees, trainers, or coordinators, Codeout reserves the right to terminate the admission immediately without refund.

8.2 Misconduct with Female Staff

If any student sends offensive or inappropriate communication to a female trainer or staff member, Codeout will immediately cancel the admission without refund and may initiate legal action.

8.3 Threats or Intimidation (Legal Protection)

If any student:

• Uses abusive language

• Issues physical or verbal threats (e.g., “I’ll slap you,” “I’ll call police,” etc.)

• Intimidates Codeout’s team by invoking government or police connections

• Publicly defames Codeout without valid proof

then Codeout will take legal action under the Indian Penal Code (IPC):

• Section 503: Criminal Intimidation

• Section 506: Punishment for Criminal Intimidation

• Section 507: Threats or Anonymous Communication

In such cases, the student’s admission will be terminated immediately without refund, and legal proceedings may be initiated.

8.4. Misconduct, Harassment & Legal Action Clause

Codeout, a registered brand of Migaro Technology Private Limited, as a Private Limited Company, holds a legal responsibility to ensure the safety, dignity, and well-being of all its employees, trainers, and clients.

Any student, client, or external individual found engaging in misconduct, verbal abuse, threats, harassment, defamation on social media, or any inappropriate behavior towards any employee, trainer, counselor, or representative of Codeout or Migaro Technology Pvt. Ltd. will face strict actions as follows:

1. The concerned individual’s admission or service will be immediately terminated without any refund.

2. The company reserves the right to initiate legal action (FIR/Complaint) with the concerned police authorities.

3. Depending on the severity of the misconduct, legal proceedings may be initiated under relevant laws including:

   • Information Technology Act, 2000

   • Indian Penal Code (IPC) Sections 354, 499, 503, 506, 507

   • Prevention of Sexual Harassment (POSH) Act, 2013

4. The company further reserves the right to file civil proceedings against the individual, including Compensation Claims or Defamation Suits.

5. Any kind of online or digital misconduct — including but not limited to abusive messages, threats, or defamation through calls, WhatsApp, email, video calls, or social media platforms — will be treated as a criminal offense under the Information Technology Act (Sections 66, 66D, 67A) and may attract strict punishment as per Indian law.

6. Codeout encourages that any such incident be reported immediately and that all related evidence (chat logs, recordings, screenshots, etc.) be preserved for investigation.

Note:
Codeout upholds a zero-tolerance policy against any form of abuse, threat, or misconduct. The company will not compromise on the dignity, respect, and safety of its employees, trainers, or students under any circumstances.

9. Post-Counseling Admissions

If a student enrolls after meeting any senior Codeout member (Founder, Manager, or Senior Counselor), refund eligibility remains valid only for 48 hours after the first class or before the second class, whichever comes first.
After that, no refund request will be entertained.

10. Final Decision Authority

All decisions regarding refunds, trainer changes, discounts, or schedule adjustments lie solely with Codeout Management (Migaro Technology Pvt. Ltd.).
By enrolling, every student agrees to abide by these terms fully and unconditionally.

10.1. Company Rights

• Codeout reserves the right to modify or update this policy at any time without prior notice.

• The updated version of this policy will be deemed effective immediately upon being published on the official website.

• All legal disputes and matters related to this policy shall fall under the jurisdiction of Delhi, India.
